  346.       materials, if any, accompanying the Software.

  348. 5.    One Archival Copy
  349.       You may make one (1) archival copy of the machine-readable 
  350.       portion of the Software for backup purposes only in support 
  351.       of your use of the Software on a single computer, provided 
  352.       that you reproduce on the copy all copyright and other 
  353.       proprietary rights notices included on the originals of the
  354.       Software.
  355.  
  356. 6.    No Merger or Integration
  357.       You may not merge any portion of the Software into, or 
  358.       integrate any portion of the Software with, any other 
  359.       program, except to the extent expressly permitted by the 
  360.       laws of the jurisdiction where you are located. Any portion 
  361.       of the Software merged into or integrated with another 
  362.       program, if any, will continue to be subject to the terms 
  363.       and conditions of this Agreement, and you must reproduce on 
  364.       the merged or integrated portion all copyright and other 
  365.       proprietary rights notices included in the originals of 
  366.       the Software.
  367.  
  368. 7.    Network Version
  369.       If you have purchased a "network" version of the Software, 
  370.       this Agreement applies to the installation of the Software 
  371.       on a single "file server". It may not be copied onto 
  372.       multiple systems. Each "node" connected to the "file server"
  373.       must also have its own license of a "node copy" of the 
  374.       Software, which becomes a license only for that specific 
  375.       "node".
  376.     
  377. 8.    Transfer of License
  378.       You may transfer your license of the Software, provided that 
  379.       (a)  you transfer all portions of the Software or copies 
  380.            thereof, 
  381.       (b)  you do not retain any portion of the Software or any 
  382.            copy thereof, and 
  383.       (c)  the transferee reads and agrees to be bound by the 
  384.            terms and conditions of this Agreement.
  385.  
  386. 9.    Limitations on Using, Copying, and Modifying the Software
  387.       Except to the extent expressly permitted by this Agreement 
  388.       or by the laws of the jurisdiction where you acquired the 
  389.       Software, you may not use, copy or modify the Software. Nor 
  390.       may you sub-license any of your rights under this Agreement. 
  391.       You may use the software for your personal use only, and not 
  392.       for public performance or for the creation of publicly 
  393.       displayed videotapes.
  394.     
  395. 10.   Decompiling, Disassembling, or Reverse Engineering.
  396.       You acknowledge that the Software contains trade secrets and 
  397.       other proprietary information of Creative and its licensors. 
  398.       Except to the extent expressly permitted by this Agreement 
  399.       or by the laws of the jurisdiction where you are located, 
  400.       you may not decompile, disassemble or otherwise reverse 
  401.       engineer the Software, or engage in any other activities to 
  402.       obtain underlying information that is not visible to the 
  403.       user in connection with normal use of the Software.
  404.  
  405.       In particular, you agree not for any purpose to transmit the 
  406.       Software or display the Software's object code on any 
  407.       computer screen or to make any hardcopy memory dumps of the 
  408.       Software's object code. If you believe you require 
  409.       information related to the interoperability of the Software 
  410.       with other programs, you shall not decompile or disassemble 
  411.       the Software to obtain such information, and you agree to 
  412.       request such information from Creative at the address listed 
  413.       below. Upon receiving such a request, Creative shall 
  414.       determine whether you require such information for a 
  415.       legitimate purpose and, if so, Creative will provide such 
  416.       information to you within a reasonable time and on 
  417.       reasonable conditions.
  418.     
  419.       In any event, you will notify Creative of any information 
  420.       derived from reverse engineering or such other activities, 
  421.       and the results thereof will constitute the confidential 
  422.       information of Creative that may be used only in connection 
  423.       with the Software.
  424.  
  425. 11.   For Software With CDDB Features.
  426.       This application may contain software from CDDB, Inc. of 
  427.       Berkeley, California d/b/a Gracenote ("Gracenote"). The 
  428.       software from Gracenote (the "Gracenote CDDB Client") 
  429.       enables the application to do online disc identification 
  430.       and obtain music-related information, including name, 
  431.       artist, track, and title information ("Gracenote Data") 
  432.       from online servers ("Gracenote CDDB Servers") and to 
  433.       perform other functions.  You may use Gracenote Data 
  434.       only by means of the intended End User functions of the 
  435.       application software.
  436.  
  437.       You agree that you will use Gracenote Data, the Gracenote 
  438.       CDDB Client, and Gracenote CDDB Servers for your own 
  439.       personal non-commercial use only. You agree not to 
  440.       assign, copy, transfer or transmit the Gracenote CDDB 
  441.       Client or any Gracenote Data to any third party. YOU 
  442.       AGREE NOT TO USE OR EXPLOIT GRACENOTE DATA, THE 
  443.       GRACENOTE CDDB CLIENT, OR GRACENOTE CDDB SERVERS, 
  444.       EXCEPT AS EXPRESSLY PERMITTED HEREIN.
  445.  
  446.       You agree that your non-exclusive license to use the 
  447.       Gracenote Data, the Gracenote CDDB Client, and Gracenote 
  448.       CDDB Servers will terminate if you violate these 
  449.       restrictions. If your license terminates, you agree to 
  450.       cease any and all use of the Gracenote Data, the 
  451.       Gracenote CDDB Client, and Gracenote CDDB Servers. 
  452.       Gracenote reserves all rights in Gracenote Data, the 
  453.       Gracenote CDDB Client, and the Gracenote CDDB Servers, 
  454.       including all ownership rights. You agree that CDDB, 
  455.       Inc. may enforce its rights under this Agreement against 
  456.       you directly in its own name.
  457.       
  458.       The Gracenote CDDB Client and each item of Gracenote 
  459.       Data are licensed to you "AS IS." Gracenote makes no 
  460.       representations or warranties, express or implied, 
  461.       regarding the accuracy of any Gracenote Data from in 
  462.       the Gracenote CDDB Servers. Gracenote reserves the 
  463.       right to delete data from the Gracenote CDDB Servers 
  464.       or to change data categories for any cause that 
  465.       Gracenote deems sufficient. No warranty is made that 
  466.       the Gracenote CDDB Client or Gracenote CDDB Servers 
  467.       are error-free or that functioning of Gracenote CDDB 
  468.       Client or Gracenote CDDB Servers will be uninterrupted. 
  469.       Gracenote is not obligated to provide you with any new 
  470.       enhanced or additional data types or categories that 
  471.       Gracenote may choose to provide in the future and is 
  472.       free to discontinue its online services at any time.
  473.  
  474.       GRACENOTE DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, 
  475.       INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF 
  476.       MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, 
  477.       TITLE, AND NON-INFRINGEMENT. Gracenote does not warrant 
  478.       the results that will be obtained by your use of the 
  479.       Gracenote CDDB Client or any Gracenote CDDB Server. IN NO 
  480.       CASE WILL GRACENOTE BE LIABLE FOR ANY CONSEQUENTIAL 
  481.       OR INCIDENTAL DAMAGES OR FOR ANY LOST PROFITS OR 
  482.       LOST REVENUES.
  483.  
  484. TERMINATION
  485. The license granted to you is effective until terminated. You may
  486. terminate it at any time by returning the Software (including any 
  487. portions or copies thereof) to Creative. The license will also 
  488. terminate automatically without any notice from Creative if you 
  489. fail to comply with any term or condition of this Agreement. You 
  490. agree upon such termination to return the Software (including any 
  491. portions or copies thereof) to Creative. Upon termination, 
  492. Creative may also enforce any rights provided by law. The 
  493. provisions of this Agreement that protect the proprietary rights 
  494. of Creative will continue in force after termination.
  495.  
  496. NO WARRANTY
  497. Creative does not warrant that the functions contained in the 
  498. Software will meet your requirements or that the operation of the 
  499. Software will be uninterrupted, error-free or free from malicious 
  500. code. For purposes of this paragraph, "malicious code" means any 
  501. program code designed to contaminate other computer programs or 
  502. computer data, consume computer resources, modify, destroy, 
  503. record, or transmit data, or in some other fashion usurp the 
  504. normal operation of the computer, computer system, or computer 
  505. network, including viruses, Trojan horses, droppers, worms, logic 
  506. bombs, and the like. 
  507.  
  508. INDEMNIFICATION BY YOU
  509. If you distribute the Software in violation of this Agreement, you
  510. hereby indemnify, hold harmless and defend Creative from and 
  511. against any and all claims or lawsuits, including attorney's fees 
  512. and costs that arise, result from or are connected with the use or 
  513. distribution of the Software in violation of this Agreement.
  514.  
  515. THE SOFTWARE IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, 
  516. EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY 
  517. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A 
  518. PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. CREATIVE IS NOT 
  519. OBLIGATED TO PROVIDE ANY UPDATES, UPGRADES OR TECHNICAL SUPPORT 
  520. FOR THE SOFTWARE.
  521.  
  522. Further, Creative shall not be liable for the accuracy of any 
  523. information provided by Creative or third party technical support 
  524. personnel, or any damages caused, either directly or indirectly, 
  525. by acts taken or omissions made by you as a result of such 
  526. technical support.
  527.  
  528. You assume full responsibility for the selection of the Software 
  529. to achieve your intended results, and for the installation, use 
  530. and results obtained from the Software. You also assume the entire 
  531. risk as it applies to the quality and performance of the Software. 
  532. Should the Software prove defective, you (and not Creative, or its 
  533. distributors or dealers) assume the entire cost of all necessary 
  534. servicing, repair or correction.
  535.  
  536. Some countries/states do not allow the exclusion of implied 
  537. warranties, so the above exclusion may not apply to you. Creative 
  538. disclaims all warranties of any kind if the Software was 
  539. customized, repackaged or altered in any way by any third party 
  540. other than Creative.
  541.  
  542. LIMITATION OF REMEDIES AND DAMAGES
  543. IN NO EVENT WILL CREATIVE OR ITS LICENSORS BE LIABLE FOR ANY 
  544. INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR 
  545. ANY BODILY INJURY (INCLUDING DEATH) TO ANY PERSONS CAUSED BY 
  546. CREATIVE'S NEGLIGENCE, OR FOR ANY LOST PROFITS, LOST SAVINGS, 
  547. LOSS OF USE, LOST REVENUES OR LOST DATA ARISING FROM OR RELATING 
  548. TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF CREATIVE OR ITS 
  549. LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
  550. IN NO EVENT WILL CREATIVE'S LIABILITY OR DAMAGES TO YOU OR ANY 
  551. OTHER PERSON EVER EXCEED THE AMOUNT PAID BY YOU TO USE THE 
  552. SOFTWARE, REGARDLESS OF THE FORM OF THE CLAIM.
  553.  
  554. Some countries/states do not allow the limitation or exclusion of
  555. liability for incidental or consequential damages, so the above 
  556. limitation or exclusion may not apply to you.
  557.  
  558. PRODUCT RETURNS
  559. IF YOU MUST SHIP THE SOFTWARE TO CREATIVE OR AN AUTHORIZED 
  560. Creative DISTRIBUTOR OR DEALER, YOU MUST PREPAY SHIPPING AND 
  561. EITHER INSURE THE SOFTWARE OR ASSUME ALL RISK OF LOSS OR DAMAGE 
  562. IN TRANSIT.
  563.  
  564. U.S. GOVERNMENT RESTRICTED RIGHTS
  565. All Software and related documentation are provided with 
  566. restricted rights. Use, duplication or disclosure by the U.S. 
  567. Government is subject to restrictions as set forth in subdivision 
  568. (b)(3)(ii) of the Rights in Technical Data and Computer Software 
  569. Clause at 252.227-7013. If you are sub-licensing or using the 
  570. Software outside of the United States, you will comply with the 
  571. applicable local laws of your country, U.S. export control law, 
  572. and the English version of this Agreement.

  581. GENERAL
  582. This Agreement is binding on you as well as your employees, 
  583. employers, contractors and agents, and on any successors and 
  584. assignees. Neither the Software nor any information derived 
  585. therefrom may be exported except in accordance with the laws of 
  586. the U.S. or other applicable provisions. This Agreement is governed
  587. by the laws of the State of California (except to the extent federal
  588. law governs copyrights and federally registered trademarks). This 
  589. Agreement is the entire agreement between us and you agree that 
  590. Creative will not have any liability for untrue statement or 
  591. representation made by it, its agents or anyone else (whether 
  592. innocently or negligently) upon which you relied upon entering this
  593. Agreement, unless such untrue statement or representation was made
  594. fraudulently. This Agreement supersedes any other understandings or
  595. agreements, including, but not limited to, advertising, with 
  596. respect to the Software. If any provision of this Agreement is 
  597. deemed invalid or unenforceable by any country or government agency
  598. having jurisdiction, that particular provision will be deemed 
  599. modified to the extent necessary to make the provision valid and 
  600. enforceable, and the remaining provisions will remain in full force
  601. and effect.
  602.

  605. matters, contact the Creative technical support center nearest you.
  606.  
  607. This package may include software with DVD-Audio functionality for 
  608. you to play content-protected DVD-Audio discs. The functionality 
  609. of this Software may be lost if the content protection system is 
  610. compromised. In this event, your sole remedy to restore such 
  611. functionality is to download a product update from Creative's 
  612. website, of if you do not have internet access, Creative will use 
  613. commercially reasonable means to provide replacement software.
  614.  
  615. ADDENDUM TO THE MICROSOFT SOFTWARE LICENSE AGREEMENT
  616. ====================================================
  617. IMPORTANT: By using the Microsoft software files (the "Microsoft 
  618. Software") provided with this Addendum, you are agreeing to be 
  619. bound by the following terms. If you do not agree to be bound by 
  620. these terms, you may not use the Microsoft Software.
  621.  
  622. The Microsoft Software is provided for the sole purpose of 
  623. replacing the corresponding files provided with a previously 
  624. licensed copy of the Microsoft software product ("ORIGINAL 
  625. PRODUCT"). Upon installation, the Microsoft Software files become 
  626. part of the ORIGINAL PRODUCT and are subject to the same warranty 
  627. and license terms and conditions as the ORIGINAL PRODUCT. If you do
  628. not have a valid license to use the ORIGINAL PRODUCT, you may not 
  629. use the Microsoft Software. Any other use of the Microsoft Software 
  630. is prohibited.

  632. Nothing in this Agreement shall be construed on the part of 
  633. Creative as advocating or authorizing the infringement of local 
  634. and/or international laws applicable to your jurisdiction.
  635.  
  636. DRM ADDENDUM TO THE MICROSOFT WMFSDK9 SERIES AGREEMENT
  637. ======================================================
  638. Content providers are using the Microsoft digital rights management
  639. technology for Windows Media distributed with this software 
  640. ("WM-DRM") to protect the integrity of their content ("Secure 
  641. Content") so that their intellectual property, including copyright,
  642. in such content is not misappropriated.  Portions of this software 
  643. and other third party applications use WM-DRM to play Secure Content
  644. ("WM-DRM Software"). If the WM-DRM Software's security has been 
  645. compromised, owners of Secure Content ("Secure Content Owners") may
  646. request that Microsoft revoke the WM-DRM Software's right to copy, 
  647. display and/or play Secure Content. Revocation does not alter the 
  648. WM-DRM Software's ability to play unprotected content. A list of 
  649. revoked WM-DRM Software is sent to your computer whenever you 
  650. download a license for Secure Content from the Internet. Microsoft 
  651. may, in conjunction with such license, also download revocation 
  652. lists onto your computer on behalf of Secure Content Owners. Secure
  653. Content Owners may also require you to upgrade some of the WM-DRM 
  654. components distributed with this software ("WM-DRM Upgrades") before
  655. accessing their content. When you attempt to play such content, 
  656. WM-DRM Software built by Microsoft will notify you that a WM-DRM 
  657. Upgrade is required and then ask for your consent before the WM-DRM
  658. Upgrade is downloaded. Non-Microsoft WM-DRM Software may do the 
  659. same. If you decline the upgrade, you will not be able to access 
  660. content that requires the WM-DRM Upgrade; however, you will still be
  661. able to access unprotected content and Secure Content that does not
  662. require the upgrade. WM-DRM features that access the Internet, such
  663. as acquiring new licenses and/or performing a required WM-DRM 
  664. Upgrade, can be switched off. When these features are switched off,
  665. you will still be able to play Secure Content if you have a valid 
  666. license for such content already stored on your computer.
  667.  
  668. SPECIAL PROVISIONS APPLICABLE TO THE EUROPEAN UNION
  669. ===================================================
  670. If you acquired the Software in the European Union (EU), the 
  671. following provisions also apply to you. If there is any 
  672. inconsistency between the terms of the Software License Agreement 
  673. set out EARLIER and IN the following provisions, the following 
  674. provisions shall take precedence.

  676. Decompilation
  677. You agree not for any purpose to transmit the Software or display 
  678. the Software's object code on any computer screen or to make any 
  679. hard copy memory dumps of the Software's object code. If you 
  680. believe you require information related to the interopretability 
  681. of the Software with other programs, you shall not decompile or 
  682. disassemble the Software to obtain such information, and you agree 
  683. to request such information from Creative at the address listed 
  684. earlier. Upon receiving such a request, Creative shall determine 
  685. whether you require such information for a legitimate purpose and,

  687. reasonable time and on reasonable conditions.

  689. Limited Warranty
  690. EXCEPT AS STATED EARLIER IN THIS AGREEMENT, AND AS PROVIDED UNDER 
  691. THE HEADING "STATUTORY RIGHTS", THE SOFTWARE IS PROVIDED AS-IS 
  692. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING,
  693. BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF 
  694. MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, 
  695. TITLE OR NONINFRINGEMENT.
  696.  
  697. Limitation of Remedy and Damages
  698. THE LIMITATIONS OF REMEDIES AND DAMAGES IN THE SOFTWARE LICENSE 
  699. AGREEMENT SHALL NOT APPLY TO PERSONAL INJURY (INCLUDING DEATH) TO 
  700. ANY PERSON CAUSED BY CREATIVE'S NEGLIGENCE AND ARE SUBJECT TO THE 
  701. PROVISION SET OUT UNDER THE HEADING "STATUTORY RIGHTS".
  702.  
  703. Statutory rights
  704. Irish law provides that certain conditions and warranties may be 
  705. implied in contracts for the sale of goods and in contracts for the 
  706. supply of services. Such conditions and warranties are hereby 
  707. excluded, to the extent such exclusion, in the context of this 
  708. transaction, is lawful under Irish law. Conversely, such conditions 
  709. and warranties, insofar as they may not be lawfully excluded, shall 
  710. apply. Accordingly nothing in this Agreement shall prejudice any 
  711. rights that you may enjoy by virtue of Sections 12, 13, 14 or 15 
  712. of the Irish Sale of Goods Act 1893 (as amended).
  713.  
  714. General
  715. This Agreement is governed by the laws of the Republic of Ireland.
  716. The local language version of this agreement shall apply to 
  717. Software acquired in the EU. This Agreement is the entire agreement 
  718. between us, and you agree that Creative will not have any liability 
  719. for any untrue statement or representation made by it, its agents 
  720. or anyone else (whether innocently or negligently) upon which you 
  721. relied upon entering this Agreement, unless such untrue statement 
  722. or representation was made fraudulently.
  723.  
  724. Copyright Information for users of Creative products
  725. Certain Creative products are designed to assist you in reproducing 
  726. material for which you own the copyright or are authorized to copy 
  727. by the copyright owner or by exemption in applicable law. Unless 
  728. you own the copyright or have such authorization, you may be 
  729. violating copyright law and may be subject to payment of damages 
  730. and other remedies. If you are uncertain about your rights, you 
  731. should contact your legal advisor. It is your responsibility when 
  732. using a Creative product to ensure there is no infringement of 
  733. applicable laws on copyright whereby the copying of certain 
  734. materials may require the prior consent of the copyright owners. 
  735. Creative disclaims any liability with regard to any illegal use of 
  736. the Creative product and Creative shall in no event be liable with 
  737. regard to the origin of any data stored in a compressed audio file. 
  738. You acknowledge and agree that the exportation or use of MP3 Codecs 
  739. in real-time broadcasting (terrestrial, satellite, cable or other 
  740. media) or broadcasting via Internet or other networks, such as but 
  741. not limited to intranets etc., in pay-audio or pay-on-demand 
  742. applications, is not authorized and/or licensed (see also 
  743. http://www.iis.fhg.de/amm/).
